TRADARA TERMINAL LLC: SUBSCRIBER TERMS AND CONDITIONS
Terms of Service · v1.1
Effective Date: For new users, these Terms are effective upon account creation or first use of the Service, whichever occurs first. For users who accepted a prior version, these Terms are effective on the earlier of (a) October 22, 2026, or (b) the date you accept them in the Service.
Tradara Terminal LLC | 273 Ponce de León Ave, Suite 901, San Juan, PR 00917 | legal@tradara.com
IMPORTANT NOTICE: THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER. BY USING THE SERVICE, YOU AGREE TO RESOLVE ALL DISPUTES THROUGH INDIVIDUAL ARBITRATION RATHER THAN IN COURT OR THROUGH CLASS PROCEEDINGS. PLEASE READ SECTION 13 CAREFULLY, INCLUDING YOUR RIGHT TO OPT OUT OF ARBITRATION WITHIN THIRTY (30) DAYS (SECTION 13.6).
TRADARA IS A TECHNOLOGY PROVIDER, NOT A BROKER. TRADARA DOES NOT HOLD YOUR FUNDS, EXECUTE OR CLEAR YOUR TRADES, OR PROVIDE INVESTMENT ADVICE. TRADING FUTURES, CRYPTOCURRENCY PERPETUAL CONTRACTS, AND OTHER LEVERAGED INSTRUMENTS INVOLVES SUBSTANTIAL RISK OF LOSS. SEE SECTIONS 3.5 AND 10.
1. ACCEPTANCE AND SCOPE
These Subscriber Terms and Conditions ("Agreement") govern your access to and use of the Tradara Terminal platform and any associated software, data feeds, analytics tools, order entry and trade copying tools, simulated trading environments, Competitions, APIs, mobile interfaces, and ancillary services (collectively, the "Service") provided by Tradara Terminal LLC, a Puerto Rico limited liability company ("Tradara," "we," "us," or "our").
By registering for an account, clicking "I Agree," or otherwise accessing or using the Service, you ("Subscriber" or "you") acknowledge that you have read, understood, and agree to be legally bound by this Agreement in its entirety. If you are accepting this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and references to "you" shall mean that entity.
If you access the Service through a proprietary trading firm or other Firm, Section 3.9 also applies to you.
If you do not agree to these terms, you must immediately cease all use of the Service.
2. DEFINITIONS
"Service" means the Tradara Terminal platform, including all software, data, analytics, charting tools, market data integrations, order entry, trade copying, risk monitoring, simulated trading, and Competition features, APIs, and related features made available by Tradara.
"Market Data" means real-time, delayed, or historical price quotes, trade data, order book information, and related content sourced from exchanges, trading venues, data vendors, or other third-party providers.
"Derived Data" means any value, metric, or analytical result calculated by Tradara from Market Data, alone or together with your account or trading information (for example, profit and loss, risk metrics, and trading statistics).
"Data Providers" means the exchanges, data vendors, and other third parties whose content is made available through the Service, including but not limited to CME Group and any market data sublicensors.
"Tradara Technology" means all proprietary software, algorithms, analytical engines, interfaces, and documentation owned by or licensed to Tradara.
"Subscriber Content" means any data, configurations, custom indicators, notes, scripts, strategy logic, or other material you upload to or create within the Service.
"Published Content" means any Subscriber Content you elect to share, publish, or make visible to other users through any community, social, or publishing feature of the Service.
"Fees" means all subscription charges, exchange fees, and other amounts payable under this Agreement.
"Order" means your selected subscription plan, as confirmed at checkout or in a separate order form.
"Connected Account" means a brokerage, futures commission merchant, exchange, or other trading account that you connect to the Service, as described in Section 3.5.
"Firm" means a proprietary trading firm, evaluation provider, or other business that has an agreement with Tradara and provides you with access to the Service, as described in Section 3.9.
"Simulated Account" means any practice, evaluation, demo, Competition, or other account in which orders are matched in a simulated environment rather than executed on an exchange.
"Competition" has the meaning given in Section 3.10.
3. THE SERVICE
3.1 License Grant
Subject to your compliance with this Agreement and timely payment of all Fees (or payment by your Firm), Tradara grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your own internal business or personal purposes during the term of your subscription. This license does not include any right to sublicense, resell, or distribute the Service or any component thereof.
3.2 Permitted Use
The Service is licensed for display-only, human-directed use, together with the automated features that Tradara itself provides within the Service (such as the trade copier, alerts, scripts run in Tradara's scripting environment, and risk monitoring tools), used as Tradara makes them available. You may use the Service to view, analyze, and make decisions regarding futures and other markets and other financial instruments, and to place orders through Connected Accounts and Simulated Accounts as described in this Agreement. Unless Tradara has granted written authorization in a separate agreement, you may not:
Use any Market Data, Derived Data, charts, alerts, or other Service outputs as inputs to any automated trading system, algorithmic order generation, smart order routing, risk management program, or any machine-driven process outside the Service that does not require direct, real-time human review;
Redistribute, retransmit, sublicense, sell, or otherwise make available any Market Data or Service outputs to any third party. You may record your own screen or take screenshots for personal use. If you share a recording or screenshot that shows Market Data, you are solely responsible for complying with the applicable Data Provider's policies, and Tradara may require you to remove it;
Create or offer any product, service, or index that incorporates or is derived from Service content without a separate written data license from Tradara and the applicable Data Providers;
Scrape, frame, mirror, or systematically extract content from the Service by automated means;
Develop, offer, or operate any third-party tool or service that enables or facilitates prohibited non-display use of Service content, regardless of whether that tool directly accesses the Service.
3.3 Service Modifications
Tradara reserves the right to modify, supplement, suspend, or discontinue any feature or component of the Service at any time, with or without notice. Tradara will use commercially reasonable efforts to provide advance notice of material changes where practicable.
3.4 Beta Features
Certain features may be designated "Beta" or "Preview." The Service as a whole may also be offered as a private or public beta. These features are provided on an experimental, as-is basis, may be especially prone to instability or inaccuracy, and may be modified or removed without notice. Use of Beta features is at your sole risk, and Tradara disclaims all liability arising from your reliance on them.
3.5 Order Entry and Connected Accounts
(a) Tradara Is Not a Broker. Tradara is a technology provider. Tradara is not a broker, futures commission merchant, introducing broker, commodity trading advisor, exchange, or clearing firm. Tradara does not hold customer funds or positions and does not execute or clear trades. Your Connected Account, the funds in it, and the execution relationship are with the provider of that account and are governed by your agreements with that provider.
(b) Authorization. By connecting an account, you authorize Tradara to access account, order, position, and balance information from the provider and to transmit orders and order instructions to the provider on your behalf, as directed by you or by features you configure. You represent that you are authorized to connect and trade each Connected Account and that doing so does not violate your agreements with the provider or any applicable Firm rules. You may disconnect a Connected Account at any time.
(c) Credentials. You are responsible for the credentials, API keys, and access tokens you provide for Connected Accounts. Tradara uses them only to provide the Service.
(d) Order Handling. Tradara does not guarantee that any order will be transmitted, accepted, executed, or executed at any particular price or time. Orders may be delayed, rejected, partially filled, or duplicated because of market conditions, provider or exchange systems, connectivity, or Service errors. You are responsible for all orders transmitted from your account, for confirming their status with your provider, and for monitoring your positions.
(e) Outages. You must maintain an independent way to access your Connected Accounts and manage your positions, such as your provider's own platform or trade desk, and you must use it if the Service is unavailable or behaving unexpectedly. Tradara is not liable for losses arising because you could not access or manage positions through the Service.
3.6 Trade Copier
Where the Service lets you replicate orders across multiple accounts (the "Trade Copier"), you choose the leader and follower accounts, copy multipliers, and other settings, and you are responsible for them. Copied orders may differ from the leader's orders in price, size, timing, or fill status, and a rejection or failure in one account may not be reflected in the others. You represent that you are authorized to trade every account you link and that copying trades between those accounts is permitted by the applicable providers and any applicable Firm rules. Tradara is not responsible for any violation of provider or Firm rules resulting from your use of the Trade Copier.
3.7 Risk Monitoring Tools
Drawdown limits, loss limits, profit targets, account status indicators, and similar tools are provided to help you monitor your accounts and may be delayed, inaccurate, or unavailable. Where a tool is configured to cancel orders or close positions automatically, it may fail to do so or may do so at prices different from those displayed. These tools do not replace the official records or rules of your provider or Firm, which control in any conflict.
3.8 Third-Party Services
The Service may integrate with third-party services, including brokerages, futures commission merchants, order routing networks, data vendors, and other platforms. Tradara does not control and is not responsible for third-party services, and your use of them is governed by their own terms.
3.9 Access Provided Through a Firm
(a) Firm Accounts. If you receive access to the Service through a Firm, the Firm may pay some or all Fees for your access. Section 7 applies to you only for purchases you make directly from Tradara.
(b) Firm Rules Govern the Firm's Program. Your evaluation, funded, or Simulated Account with a Firm, its trading rules, and any rule violation, reset, upgrade, payout, reward, or account closure, as well as any fees you pay to the Firm, are governed solely by your agreement with the Firm. Tradara is not a party to that agreement, does not make or review those determinations, and is not responsible for them. Questions about those matters should be directed to your Firm.
(c) Information Shared with Your Firm. You authorize Tradara to share with your Firm your account and contact information, trading activity (including orders, fills, positions, balances, profit and loss, and risk metrics), platform usage, and market data subscriber status, as needed for the Firm to operate its program and for Tradara to bill the Firm, and to receive information about you from the Firm. The Privacy Policy describes this sharing in more detail.
(d) Firm-Directed Changes. A Firm may ask Tradara to suspend, restrict, or terminate your access, or may stop providing your access, at any time. Tradara may act on those requests without liability to you.
(e) This Agreement Still Applies. Your use of the Service remains subject to this Agreement regardless of the terms of your agreement with a Firm.
3.10 Competitions
Tradara may offer trading competitions, leaderboards, challenges, and head-to-head matches using Simulated Accounts ("Competitions"). Unless the official rules for a Competition state otherwise, no purchase or payment is required to enter or win. Each Competition is governed by its official rules, which are incorporated into this Agreement for that Competition and control in any conflict. Competitions are void where prohibited. Tradara may disqualify participants, withhold prizes, or cancel or modify a Competition in response to suspected cheating, use of multiple accounts, collusion, exploitation of errors, or other abuse. Results in a Competition are simulated and do not represent actual trading.
3.11 Product and Geographic Availability
Tradara may make different instruments, asset classes (including futures, equities, cryptocurrency perpetual contracts, and event contracts), features, and data available in different jurisdictions, and may restrict or block access to any of them based on your location, residency, classification, or the requirements of applicable law, Data Providers, or Connected Account providers. The availability of an instrument in the Service does not mean it is lawful or suitable for you to trade where you live.
4. DERIVED DATA AND REVERSE-ENGINEERING PROHIBITION
4.1 Derived Data
Certain values displayed in the Service, such as profit and loss, risk metrics, and trading statistics, are Derived Data calculated by Tradara. Derived Data is provided for display and human-directed use within the Service, and for use by the Tradara-provided features described in Section 3.2.
4.2 Reverse-Engineering Prohibition
You agree that you will not, directly or indirectly:
Attempt to reconstruct, reverse-engineer, decompile, or derive the proprietary algorithmic logic of the Tradara Technology from any Derived Data or Service output;
Use statistical, computational, or machine learning methods to approximate, infer, or reproduce the proprietary algorithmic logic of the Tradara Technology;
Use Derived Data as a reference price, benchmark, or calculation input in any financial instrument, index, fund, or derivative product;
Represent that Derived Data or any other Service output is official exchange data or is endorsed by any Data Provider.
4.3 Third-Party Tools
You may not use, and Tradara does not authorize any third party to create, market, or operate, a product or service that: (a) claims compatibility with Tradara features (such as webhooks or APIs) for purposes that violate this Agreement; or (b) facilitates Subscriber conduct that would itself violate this Agreement. Tradara may suspend any access that it reasonably believes is being used through such a product or service.
5. ELIGIBILITY, REGISTRATION, AND ACCOUNT SECURITY
5.1 Eligibility
To use the Service, you must: (a) be at least eighteen (18) years old, have reached the age of majority in your jurisdiction of residence, and be legally able to enter into this Agreement; (b) not be located in, organized in, or ordinarily resident in any country or region subject to comprehensive U.S. sanctions, or in any jurisdiction where a Data Provider prohibits distribution of its Market Data; (c) not be identified on, or owned or controlled by any person identified on, any U.S. government restricted party list, including the OFAC Specially Designated Nationals and Blocked Persons List; and (d) not have been previously suspended or banned from the Service.
You may not use a VPN, proxy, or other means to disguise your location or to circumvent any geographic restriction. Tradara may verify your eligibility, including your age, identity, and location, and may refuse, suspend, or terminate access for anyone who does not meet these requirements. The Service is not directed to children, and Tradara does not knowingly collect personal information from anyone under eighteen (18).
5.2 Account Requirements
To access the Service, you must register and create an account. You agree to provide accurate, current, and complete information during registration and to keep such information up to date. Tradara may suspend or terminate your account if you provide false or misleading information.
5.3 Credentials and Security
You are solely responsible for maintaining the confidentiality of your login credentials. You must not share your username, password, or account access with any other person or entity. Tradara reserves the right to enforce single-user access and to terminate accounts found to be shared. You agree to notify Tradara immediately at support@tradara.com upon discovering any unauthorized access to your account.
5.4 Account Activity
You are responsible for all activity that occurs under your account, whether or not authorized by you, including all orders transmitted from your account. Tradara is not liable for any loss or damage arising from unauthorized use of your account resulting from your failure to safeguard your credentials.
6. MARKET DATA AND DATA PROVIDER TERMS
6.1 Third-Party Data
The Service incorporates Market Data sourced from one or more Data Providers, including exchanges such as CME Group and their affiliates. Your access to and use of such Market Data is subject to the applicable Data Provider agreements, which are incorporated into this Agreement by reference, including the market data subscriber terms presented to you during onboarding and available at [LINK]. By using the Service, you agree to be bound by those agreements as if you had executed them directly. Each Data Provider is an intended third-party beneficiary of the provisions of this Agreement that relate to its Market Data and may enforce them directly.
6.2 Professional vs. Non-Professional Status
Certain Market Data feeds are priced differently depending on whether you qualify as a "Non-Professional" or "Professional" subscriber under applicable exchange rules. By selecting Non-Professional status, you represent and certify each of the following:
You are a natural person, not a corporation, partnership, trust, or other legal entity. Your subscription is paid with personal funds, not business or institutional capital;
You use the Service and any Market Data solely for personal purposes and not on behalf of any business, employer, or third party;
You are not registered or qualified with the SEC, CFTC, NFA, or any equivalent securities, commodities, or futures regulatory authority in any jurisdiction;
You are not registered with any securities exchange, association, or self-regulatory organization;
You do not perform functions that are substantially similar to those requiring registration with any of the bodies identified above;
You are not acting as an investment adviser (as defined under the Investment Advisers Act of 1940) or as an asset manager providing advice or services to any third party;
You are not subscribing to the Service in your capacity as a principal, officer, partner, director, employee, or agent of any business or financial entity;
You trade using only your own capital and have not entered into any profit-sharing, compensation, or fee arrangement related to your trading activity;
You do not receive office space, equipment, infrastructure, or other benefits from any business in exchange for your trading activity or financial consulting services;
You do not manage funds, accounts, or positions on behalf of any other individual or entity.
If Tradara or a Data Provider determines, based on your account profile, payment method, email domain, employer, regulatory filings, or any other indicator, that your actual status qualifies as Professional, you will be liable for the difference in applicable subscription and exchange fees, retroactive to the date of first access. Tradara reserves the right to reclassify your account and charge accordingly.
6.3 Data Accuracy
Market Data and other information provided through the Service is sourced from third parties and is provided for informational and analytical purposes only. Tradara cannot and does not guarantee the accuracy, completeness, timeliness, or sequencing of any Market Data. Data feeds may differ across features of the Service due to the use of multiple providers. You are solely responsible for verifying any information before acting on it.
6.4 Audit Rights
Data Providers may require Tradara to audit subscriber usage of Market Data. You agree to cooperate with any such audit, to maintain accurate records regarding your use of Market Data, and to provide such records upon request.
7. FEES, BILLING, AND CANCELLATION
7.1 Subscription Fees
You agree to pay all Fees set forth in your Order. Fees are charged in U.S. dollars, payable in advance on a monthly or annual basis as selected at checkout. Tradara reserves the right to adjust its pricing with at least thirty (30) days' prior written notice. Any price change will take effect at the next renewal date following notice.
7.2 Exchange Fees
If you are classified as a Professional subscriber or elect optional market data packages, additional exchange fees set by the relevant Data Provider may apply. These fees are passed through to you at cost plus a reasonable service margin and are billed separately or via your Tradara account.
7.3 Automatic Renewal and Payment Authorization
Subscriptions renew automatically at the end of each billing period unless cancelled. By subscribing, you authorize Tradara to charge your payment method on file for all recurring Fees. If a payment attempt fails, Tradara may retry the charge one or more times. It is your responsibility to ensure a valid payment method is on file at all times. Before you subscribe, Tradara will show you the price, billing frequency, and how to cancel, and Tradara will send renewal reminders where required by applicable law.
7.4 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the then-current billing period; you will retain access to the Service through that date. Except where applicable law requires Tradara to accept other cancellation methods, cancellation by email or informal communication is not effective; you must use the in-platform cancellation tool.
7.5 Refund Policy
All payments are non-refundable, except that annual subscriptions may be eligible for a prorated refund if a written refund request is submitted within fourteen (14) calendar days of the applicable payment date. Monthly subscription fees are not refundable under any circumstances. Tradara may, in its discretion, offer credits or exceptions to this policy on a case-by-case basis. Subscribers who initiate chargebacks or payment disputes forfeit any refund eligibility. Nothing in this Section limits any refund rights you have under applicable law that cannot be waived.
7.6 Mobile Apps and App Store Subscriptions
If you subscribe to the Service through a third-party mobile application marketplace, the following additional terms apply:
(a) Apple App Store. Subscriptions purchased through the Apple App Store are processed by Apple in accordance with Apple's Payment Terms and App Store Review Guidelines. Payment is charged to your Apple ID at confirmation of purchase. Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current period through your Apple ID account settings. Tradara is not responsible for billing disputes arising from App Store purchases; refund requests must be directed to Apple in accordance with its applicable policies. Trial periods, if offered, may only be used once per Apple ID.
(b) Google Play. Subscriptions purchased through the Google Play Store are processed by Google in accordance with Google Play's Terms of Service and payment policies. Renewal cancellation must be made at least 24 hours before the end of the current billing period through your Google Play account settings. Tradara is not responsible for the actions or omissions of Google as a payment processor. Refunds for Google Play purchases are subject to Google's refund policy.
(c) Pricing. Subscription pricing offered through mobile application marketplaces may differ from pricing available on Tradara's web platform. Mobile marketplace purchases support monthly and annual billing cycles only. Tradara account credits, referral rewards, and promotional discounts cannot be applied toward purchases made through mobile app stores.
(d) No Double Entitlement. Purchasing a subscription through one channel does not entitle you to the same subscription at no additional cost through another channel.
(e) Additional Terms for Apple Users. If you download a Tradara application from the Apple App Store: (i) this Agreement is between you and Tradara only, not Apple, and Tradara, not Apple, is solely responsible for the application and its content; (ii) your license to the application is limited to use on Apple-branded products that you own or control, as permitted by the Usage Rules in Apple's Media Services Terms and Conditions; (iii) Apple has no obligation to provide maintenance or support for the application; (iv) if the application fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, of the application; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to a warranty are Tradara's responsibility, subject to this Agreement; (v) Tradara, not Apple, is responsible for addressing any claims by you or a third party relating to the application, including product liability claims, claims that the application fails to conform to any legal or regulatory requirement, and claims arising under consumer protection, privacy, or similar laws; (vi) Tradara, not Apple, is responsible for the investigation, defense, settlement, and discharge of any third-party claim that the application or your use of it infringes that third party's intellectual property rights; (vii) you represent that you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties; (viii) you must comply with applicable third-party terms, such as your wireless data service agreement, when using the application; and (ix) Apple and its subsidiaries are third-party beneficiaries of this Agreement, and upon your acceptance of this Agreement, Apple will have the right to enforce it against you as a third-party beneficiary. Questions, complaints, or claims regarding the application should be directed to Tradara at the address in Section 17.8.
8. INTELLECTUAL PROPERTY
8.1 Tradara Ownership
All right, title, and interest in and to the Tradara Technology, the Service (excluding third-party content), Derived Data, and any derivative works, improvements, or enhancements thereof are owned exclusively by Tradara or its licensors. Nothing in this Agreement transfers any intellectual property rights to you. You agree not to reverse engineer, decompile, disassemble, copy, or create derivative works from any portion of the Tradara Technology.
8.2 Data Provider Ownership
All Market Data remains the proprietary property of the applicable Data Providers. Your access to Market Data does not confer any ownership rights. You agree not to alter, obscure, or remove any proprietary notices embedded in Market Data or Service outputs.
8.3 Subscriber Content
You retain ownership of any Subscriber Content you upload or create. By using the Service, you grant Tradara a non-exclusive, worldwide, royalty-free license to use, store, and process your Subscriber Content to the extent necessary to provide and improve the Service.
8.4 Feedback
If you submit feedback, feature requests, or suggestions regarding the Service ("Feedback"), you acknowledge that such Feedback is not confidential and you assign to Tradara all right, title, and interest in that Feedback. Tradara may use Feedback for any purpose without restriction, attribution, or compensation to you.
8.5 Aggregate and Anonymized Data
Tradara may collect, aggregate, and anonymize data derived from your use of the Service for product improvement, research, and business purposes. Such aggregated, non-identifiable data is the exclusive property of Tradara.
9. PUBLISHED CONTENT AND COMMUNITY FEATURES
9.1 Publishing
Where the Service offers features that allow you to publish, share, or otherwise make Subscriber Content visible to other users ("Community Features"), you may elect to publish strategies, analyses, indicators, chart layouts, or commentary as Published Content. By publishing, you grant Tradara a worldwide, irrevocable, perpetual, royalty-free license to host, display, and make your Published Content available to other users of the Service in accordance with the visibility settings you select. Shared trade links, performance displays, and leaderboard entries may reveal your trading activity and results to anyone who can view them.
9.2 Permanence of Published Content
Once Subscriber Content has been published and made visible to other users, it forms part of the shared analytical record of the platform. To preserve the integrity and historical continuity of that record, Tradara may, at its discretion, retain Published Content on the platform even after your subscription ends or you request deletion of your account. This policy prevents selective removal of content and maintains an honest, complete record for all users. You acknowledge and accept this limitation before publishing any content. If you delete your account, Tradara will, on request, remove your name, username, and other identifying information from any Published Content it retains, and will delete Published Content where applicable law requires.
If you wish to correct or update Published Content, you may do so by editing through the applicable platform tools, subject to Tradara's then-current editing policies.
9.3 Content Standards
All Published Content must comply with applicable law and Tradara's Community Guidelines (published separately and incorporated herein by reference). You represent and warrant that your Published Content does not: (a) infringe any third-party intellectual property right; (b) contain false, misleading, or fraudulent information; (c) constitute investment advice or a securities recommendation in violation of applicable law; or (d) violate any applicable exchange or regulatory rule governing the use or redistribution of Market Data.
9.4 Tradara's Rights Over Published Content
Tradara reserves the right to remove, modify, or restrict access to Published Content that violates this Agreement or Tradara's Community Guidelines, at any time and without prior notice. Removal of Published Content for policy violations does not entitle you to a refund of any Fees paid.
9.5 No Endorsement
Tradara does not endorse, verify, or guarantee the accuracy of any Published Content created by Subscribers. Other users rely on Published Content at their own risk. Tradara is not liable for any loss or damage arising from a Subscriber's reliance on Published Content created by another user.
9.6 Copyright Complaints
Tradara responds to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act. To submit a notice, send Tradara's designated agent a written communication that includes: (a) your physical or electronic signature; (b) identification of the copyrighted work you claim is infringed; (c) identification of the material you claim is infringing and information reasonably sufficient for Tradara to locate it; (d) your contact information; (e) a statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.
Designated Agent: Copyright Agent, Tradara Terminal LLC, 273 Ponce de León Ave, Suite 901, San Juan, PR 00917; copyright@tradara.com. If your content is removed, you may submit a counter-notice as permitted by law. Tradara will terminate, in appropriate circumstances, the accounts of users who are repeat infringers.
10. NOT INVESTMENT ADVICE; SIMULATED TRADING; BACKTESTING AND HYPOTHETICAL PERFORMANCE
10.1 Informational Purposes Only
The Service, Market Data, Derived Data, analytical tools, and any output generated by the Service are provided for informational and educational purposes only. Nothing on or through the Service constitutes investment advice, a solicitation to buy or sell any financial instrument, or a recommendation of any specific trading strategy. All trading and investment decisions are yours alone, and you bear sole responsibility for the outcomes of those decisions. Before making any investment or trading decision, you should consult a qualified financial professional familiar with your individual circumstances. Trading futures, cryptocurrency perpetual contracts, and other leveraged instruments involves substantial risk of loss, which can exceed the amount you deposit, and is not suitable for all investors.
10.2 Backtesting and Strategy Simulation
Where the Service includes backtesting, strategy simulation, or historical performance analysis tools ("Backtesting Tools"), the following terms apply:
(a) Idealized Conditions. Backtesting Tools calculate how a defined strategy might have performed against historical Market Data under theoretical conditions. These results assume, among other things: perfect order execution at the precise price indicated; unlimited and instantaneous liquidity at all times; no bid/ask spread costs; zero or minimal brokerage commissions; and no partial fills, order rejections, or latency. None of these assumptions reliably hold in live markets.
(b) Hindsight Bias. Historical data used in backtesting is, by definition, complete and known in advance. Strategies that appear profitable when applied to historical data may incorporate hindsight bias, optimizing for outcomes that were knowable only after the fact, and may perform materially differently when applied in real-time.
(c) No Predictive Value. Backtesting results do not constitute a forecast, projection, or prediction of future performance for any strategy, instrument, or market condition. Past simulated results are not indicative of future actual results. No representation is made that any account will or is likely to achieve profits or losses similar to those reflected in any Backtesting Tool output.
(d) Data Dependency. Backtesting results are only as reliable as the underlying historical Market Data. Tradara does not guarantee the accuracy or completeness of historical data used in Backtesting Tools, and errors or gaps in that data will directly affect simulation outputs.
(e) As-Is Basis. Backtesting Tools are provided on an as-is basis without warranty of any kind. Tradara is not responsible for any trading or investment decision made in reliance on Backtesting Tool output.
10.3 Simulated Trading
Orders placed in Simulated Accounts are matched by Tradara's simulated matching engine and are not sent to any exchange. Simulated fills may differ from what you would receive in a live market, including because of queue position, available liquidity, slippage, latency, and market impact. Simulated profits and losses are not real money and do not entitle you to any payment, except as a Firm may separately provide under its own agreement with you or as stated in the official rules of a Competition.
HYPOTHETICAL OR SIMULATED PERFORMANCE RESULTS HAVE CERTAIN LIMITATIONS. UNLIKE AN ACTUAL PERFORMANCE RECORD, SIMULATED RESULTS DO NOT REPRESENT ACTUAL TRADING. ALSO, SINCE THE TRADES HAVE NOT BEEN EXECUTED, THE RESULTS MAY HAVE UNDER- OR OVER-COMPENSATED FOR THE IMPACT, IF ANY, OF CERTAIN MARKET FACTORS, SUCH AS LACK OF LIQUIDITY. SIMULATED TRADING PROGRAMS IN GENERAL ARE ALSO SUBJECT TO THE FACT THAT THEY ARE DESIGNED WITH THE BENEFIT OF HINDSIGHT. NO REPRESENTATION IS BEING MADE THAT ANY ACCOUNT WILL OR IS LIKELY TO ACHIEVE PROFIT OR LOSSES SIMILAR TO THOSE SHOWN.
10.4 Acknowledgment
You represent that you understand the limitations described in this Section and that you will not make any trading or investment decision based solely on Service outputs or Backtesting Tool results without conducting your own independent due diligence using multiple sources of information and analysis.
11. DISCLAIMERS AND WARRANTIES
THE SERVICE, MARKET DATA, DERIVED DATA, TRADARA TECHNOLOGY, AND ALL OTHER CONTENT OR FEATURES MADE AVAILABLE THROUGH THE SERVICE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRADARA AND ITS DATA PROVIDERS EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, TIMELINESS, NON-INFRINGEMENT, AND QUIET ENJOYMENT.
TRADARA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED. TRADARA DOES NOT WARRANT THAT ANY ORDER, COPIED ORDER, OR RISK CONTROL WILL BE TRANSMITTED, EXECUTED, OR APPLIED AS INTENDED. YOU ASSUME ALL RISK ASSOCIATED WITH YOUR USE OF THE SERVICE AND ANY DECISIONS MADE IN RELIANCE THEREON.
ALERT FEATURES, AUTOMATED NOTIFICATIONS, AND SIMILAR TOOLS ARE PROVIDED AS-IS AND WITHOUT GUARANTEE OF DELIVERY OR TIMELINESS. TRADARA IS NOT RESPONSIBLE FOR ANY LOSSES RESULTING FROM A FAILURE OF ALERT OR NOTIFICATION FUNCTIONALITY, REGARDLESS OF CAUSE, INCLUDING CELLULAR NETWORK FAILURES, THIRD-PARTY EMAIL SERVICE OUTAGES, SYSTEM MALFUNCTIONS, OR TECHNICAL ERRORS.
TRADARA SPECIFICALLY DISCLAIMS ALL WARRANTIES WITH RESPECT TO ANY THIRD-PARTY SERVICES, SOFTWARE, OR DATA INTEGRATED WITH OR ACCESSIBLE THROUGH THE SERVICE. NO WARRANTY MADE BY ANY THIRD-PARTY PROVIDER TO TRADARA SHALL BE PASSED THROUGH TO YOU, AND YOU SHALL NOT CLAIM TO BE A THIRD-PARTY BENEFICIARY OF ANY SUCH WARRANTY.
12. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
(a) NEITHER TRADARA NOR ANY DATA PROVIDER SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, TRADING LOSSES, LOSS OF DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, EVEN IF TRADARA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(b) TRADARA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING UNDER OR RELATED TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF: (I) THE AGGREGATE FEES ACTUALLY PAID BY YOU TO TRADARA IN THE THREE (3) CALENDAR MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (II) ONE HUNDRED U.S. DOLLARS ($100.00).
(c) DATA PROVIDERS HAVE NO LIABILITY WHATSOEVER TO YOU FOR ANY CLAIMS ARISING FROM THE ACCURACY, COMPLETENESS, OR DELIVERY OF MARKET DATA.
These limitations reflect a reasonable allocation of risk and are a fundamental element of the basis of the bargain between you and Tradara. Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages; in those jurisdictions, Tradara's liability is limited to the maximum extent permitted by law. Nothing in this Agreement limits liability for fraud, willful misconduct, or any other liability that cannot be limited under applicable law.
13. DISPUTE RESOLUTION AND ARBITRATION
13.1 Informal Resolution
Before initiating any formal dispute proceeding, you agree to first contact Tradara at legal@tradara.com with a written description of your claim and desired resolution. The parties will attempt to resolve the dispute informally within thirty (30) days of notice.
13.2 Binding Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to this Agreement, the Service, or your relationship with Tradara ("Dispute") shall be resolved exclusively by final, binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules if you are an individual using the Service primarily for personal purposes, and otherwise under its Commercial Arbitration Rules, as modified herein. The arbitration shall be conducted by a single neutral arbitrator. The seat of arbitration shall be San Juan, Puerto Rico, and the arbitration shall be conducted in English. If you are an individual, any hearing may be conducted by video conference or, at your request, in the county where you reside. Arbitration fees will be allocated as provided in the applicable AAA rules. The arbitrator may award any individual relief that would be available in court.
13.3 Class Action Waiver
YOU AND TRADARA EACH AGREE THAT ALL DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY AND NOT AS PART OF OR ON BEHALF OF ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR HAS NO AUTHORITY TO CONSOLIDATE CLAIMS OR PRESIDE OVER ANY CLASS OR REPRESENTATIVE PROCEEDING. IF THIS CLASS ACTION WAIVER IS FOUND UNENFORCEABLE AS TO ANY CLAIM, THAT CLAIM SHALL BE SEVERED AND PROCEED IN COURT, AND SECTION 13.2 SHALL NOT APPLY TO IT.
13.4 Exceptions
Notwithstanding Section 13.2, (a) either party may seek provisional injunctive or equitable relief from a court of competent jurisdiction to prevent imminent harm or protect intellectual property rights pending arbitration; and (b) either party may bring an individual claim in small claims court if the claim qualifies and remains there.
13.5 Mass Arbitration
If twenty-five (25) or more substantially similar demands for arbitration are filed against Tradara by or with the assistance of the same or coordinated counsel or organizations, the demands shall be administered under the AAA's Mass Arbitration Supplementary Rules, and the parties agree that the demands may be resolved in staged batches.
13.6 Right to Opt Out
You may opt out of this Section 13 by emailing legal@tradara.com within thirty (30) days after you first accept this Agreement, stating your name, the email address associated with your account, and that you opt out of arbitration. Opting out does not affect any other part of this Agreement.
13.7 Time Limitation
To the extent permitted by applicable law, any claim must be initiated within one (1) year of the date the claiming party knew or reasonably should have known of the facts giving rise to the claim, or it is forever barred.
13.8 Governing Law
This Agreement is governed by the laws of the Commonwealth of Puerto Rico and applicable federal law, without regard to conflict-of-law principles. The Federal Arbitration Act governs the interpretation and enforcement of this Section 13.
14. INDEMNIFICATION
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Tradara, its affiliates, officers, directors, employees, agents, licensors, and Data Providers from and against any claims, liabilities, damages, judgments, settlements, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service in violation of this Agreement; (b) your violation of any applicable law or regulation; (c) your infringement of any third-party right; (d) any inaccurate representation made by you regarding your Professional or Non-Professional status; (e) any Published Content you make available through the Service; or (f) any recording or screenshot of the Service that you share.
15. REFERRAL AND AFFILIATE PROGRAMS
15.1 Referral Program
Tradara may offer a referral program under which eligible Subscribers earn account credits by referring new paying subscribers. When a referral program is active, the following terms apply:
(a) Eligibility. To earn referral credits, both you (the referrer) and the person you refer (the referee) must meet all eligibility requirements posted on Tradara's referral program page at the time of referral. Referees must be new Tradara users with no prior account, must register using your unique referral link, and must complete a qualifying paid subscription during the applicable tracking window.
(b) Credits. Referral credits are applied to your Tradara account and may be used solely toward future Tradara web subscription purchases. Credits have no cash value, are non-transferable, and may not be used for exchange fees, mobile app store purchases, or any purchase outside the Tradara web platform. Credits expire twenty-four (24) months after issuance unless otherwise stated.
(c) Prohibited Conduct. When sharing your referral link, you may not: send unsolicited bulk communications or spam; use or misappropriate Tradara's trademarks, logos, or brand assets in any manner not expressly authorized; register domain names, social media handles, or application names incorporating "Tradara" or any confusingly similar term; purchase paid search keywords incorporating Tradara's trademarks; use automated systems or bots to distribute your referral link; or make false, misleading, or deceptive representations about Tradara or the referral program.
(d) Clawback. If a referee initiates a chargeback, payment dispute, or refund claim, any referral credit issued in connection with that referee's subscription will be cancelled and reversed from your account.
(e) Program Changes. Tradara reserves the right to modify, suspend, or terminate the referral program at any time, with or without notice, including the right to adjust credit amounts, eligibility requirements, and expiration periods. Tradara may disqualify any participant suspected of fraud, manipulation, or abuse.
15.2 Affiliate Program
Tradara may separately offer an affiliate program through which approved affiliates earn commission on subscriber sign-ups generated through their designated affiliate links. Participation in any affiliate program is subject to a separate affiliate agreement executed by Tradara. In the absence of such an agreement, no affiliate relationship exists and no commission is owed. All affiliate advertising and promotional materials must clearly identify the affiliate as an independent party and not as a representative or agent of Tradara. Unauthorized use of Tradara's name, brand, or intellectual property in affiliate promotions is prohibited.
16. TERM AND TERMINATION
16.1 Term
This Agreement commences on the date you accept it and continues for the duration of your active subscription or Firm-provided access, subject to automatic renewal as described in Section 7.
16.2 Termination by You
You may terminate this Agreement by cancelling your subscription in accordance with Section 7.4. Termination does not entitle you to a refund except as provided in Section 7.5.
16.3 Termination by Tradara
Tradara may suspend or terminate your access to the Service immediately, without prior notice or refund, if: (a) you breach any provision of this Agreement; (b) Tradara is required to do so by law or at the direction of a regulatory authority; (c) there is suspected fraudulent, abusive, or illegal activity on your account; (d) a Data Provider requires restriction or termination of your access; (e) you do not meet the eligibility requirements in Section 5.1; or (f) your Firm requests it under Section 3.9(d).
16.4 Effect of Termination
Upon termination for any reason: (a) your license to use the Service immediately terminates; (b) you must cease all use of the Service and Tradara Technology; (c) all outstanding Fees become immediately due and payable; and (d) Tradara may delete your account and associated data in accordance with its Privacy Policy. Notwithstanding the foregoing, Published Content may be retained on the platform in accordance with Section 9.2. Termination does not cancel any working orders at your Connected Account providers; you are responsible for managing them directly with each provider. Sections 4, 6, 8, 9, 10, 11, 12, 13, 14, and 16.4 survive termination.
17. GENERAL PROVISIONS
17.1 Entire Agreement
This Agreement, together with any Order, the Privacy Policy, the Community Guidelines, the official rules of any Competition you enter, and any applicable Data Provider terms incorporated herein, constitutes the entire agreement between you and Tradara with respect to its subject matter and supersedes all prior representations, negotiations, or agreements.
17.2 Amendments.
Tradara may modify this Agreement at any time by posting a revised version. Changes take effect when posted, or on the date stated in the revised Agreement, except that material changes that adversely affect your rights will take effect no sooner than seven (7) days after Tradara notifies you by email or by prominent notice within the Service. You may accept any change earlier, for example by clicking “I Agree,” and it takes effect for you upon acceptance. Changes required by law, by a Data Provider, or by a regulatory authority, and changes needed to address security or fraud, may take effect immediately. Your continued use of the Service after a change takes effect constitutes acceptance. If you do not agree to a change, you must stop using the Service and cancel your subscription. Changes to Section 13 will not apply to any Dispute of which Tradara had notice before the change took effect.
17.3 Assignment
You may not assign or transfer this Agreement or any of your rights or obligations hereunder without Tradara's prior written consent. Tradara may assign this Agreement in connection with a merger, acquisition, corporate restructuring, or sale of substantially all of its assets, without your consent. Any purported assignment in violation of this section is void.
17.4 No Waiver
Tradara's failure to enforce any provision of this Agreement on any occasion shall not constitute a waiver of that provision or Tradara's right to enforce it in the future.
17.5 Severability
If any provision of this Agreement is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and all remaining provisions shall continue in full force and effect, except as provided in Section 13.3.
17.6 Force Majeure
Neither party shall be in breach of this Agreement or liable for any delay or failure to perform its obligations (other than payment obligations) to the extent caused by circumstances beyond that party's reasonable control, including acts of God, natural disasters, war, terrorism, government actions, cyberattacks, utility failures, labor disputes, exchange or market data outages, or failures of third-party telecommunications providers. The affected party shall notify the other party as promptly as practicable and use commercially reasonable efforts to resume performance.
17.7 No Agency
Nothing in this Agreement creates a partnership, joint venture, agency, franchise, or employment relationship between you and Tradara. Neither party has authority to act on behalf of, or to bind, the other party.
